Dear

I am writing to you in accordance with Regulation 13 of the Transfer of Undertakings (Protection of Employment) Regulations 2006 (‘the Regulations’) to inform you of [our proposal to transfer the business of (give details of undertaking) to (name of transferee)] (or) [the proposed service provision change of (give details of activities) from ourselves to (name of new service provider)].

It is proposed that the transfer will take place on or about (date).  The reasons for the transfer are (specify reasons).

The proposed transfer will affect (identify number and description of employees) who are presently employed in the undertaking.  From a legal perspective, the affected employees will, by virtue of the Regulations, transfer on their existing terms and conditions of employment and with continuity of employment for statutory and contractual purposes preserved.  As there will be no change to existing terms and conditions of employment [save in respect of occupational pension schemes – see below], it is not envisaged that there will be any economic or social implications arising from the transfer for the affected employees.

It is [not] envisaged that we will be taking [any] measures in connection with the transfer in relation to those employees who will be affected by the transfer [and (specify measures to be taken, if any)].

[Although in all other respects the terms and conditions of employment of those employees who will be transferring with the undertaking will be unaffected by the transfer, it will be necessary for their existing occupational pension arrangements to be changed, since they will be unable to continue as members of the (name of pension scheme) scheme following the transfer.  Arrangements will be implemented in relation to employees who are members of the (name of pension scheme) scheme to enable them to become members of the (name of new pension scheme) scheme upon the transfer of their employment to (name of transferee).  Details of the (name of new pension scheme) scheme are attached.]

(Name of transferee) has advised us that it does [not] envisage taking any other measures in relation to the employees who will transfer with the undertaking [and (specify measures to be taken, if any)].

We would be pleased to meet with you to discuss the proposed transfer [and to consult with you regarding (specify any measures it is envisaged will be taken in connection with the transfer) and to consider and reply to any representations which you wish to make, with a view to seeking your agreement to the intended measures].  Please contact us by no later than (date) to set up a suitable time and date for this meeting.  [We will also invite representatives of (name of transferee) to attend this meeting.]
